1. Acceptance of Terms

By accessing or using GymSphere ("Service", "Platform", or "Software"), provided by GymSphere ("we", "us", or "our"), you ("Customer", "Gym Owner", or "User") agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use the platform.

2. Service Description & Software License

GymSphere provides a software-as-a-service (SaaS) platform designed for fitness clubs, gyms, and sports studios. Features include zero-hardware QR attendance management, counter point-of-sale (POS) billing, dynamic UPI QR invoice generation, trainer session tracking, and member ledger operations. We grant you a non-exclusive, non-transferable, revocable license to access the platform during your active subscription or pilot period.

3. Account Registration & Security

To access administrative desk capabilities, you must register an authorized account. You are responsible for maintaining the confidentiality of your credentials (including owner logins, manager authorization PINs, and desk staff access codes). Any activity occurring under your gym tenant account is your responsibility.

4. 14-Day Pilot & Subscription Terms

Eligible gyms may participate in an initial 14-day free pilot program. No credit card is required to initiate the pilot. Following the pilot period, continued access requires an active plan subscription customized to your gym's member volume and branch count. Pricing starts at £ or &rupee;499/mo depending on tiered options. Subscriptions may be modified or cancelled by providing written notice to our team.

5. Financial Transactions & POS Reconciliation

GymSphere provides calculation, invoicing, and dynamic UPI QR generation utilities to assist front-desk staff. GymSphere is not a bank, payment aggregator, or custodian of your funds. All UPI collections flow directly into the gym's designated merchant or bank VPA. The gym owner remains solely responsible for verifying customer bank transfers, auditing physical cash drawers, and fulfilling applicable local tax (GST) obligations.

6. Permitted Use & Anti-Abuse Rules

You agree not to:

• Reverse engineer, decompile, or copy the proprietary workflows or algorithms of GymSphere.
• Bypass or attempt to manipulate GPS geofencing perimeter controls or attendance anti-passback mechanisms.
• Transmit unsolicited commercial messages (spam) using the platform's WhatsApp deep link generation features.
• Store or upload unlawful, fraudulent, or infringing materials to member dossiers.

7. Offline Functionality & Service Availability

While GymSphere incorporates self-healing offline buffer synchronization to mitigate brief internet and power interruptions at gym counters, the platform is provided on an "AS IS" and "AS AVAILABLE" basis. We strive for 99.9% cloud uptime but cannot guarantee uninterrupted service during severe infrastructure outages beyond our reasonable control.

8. Limitation of Liability

To the maximum extent permitted by applicable law, GymSphere and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, counter cash discrepancies, or business interruption arising out of or related to your use of the platform.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.
